What causes the placenta to start failing?

I'll be 38 weeks pregnant on Monday. I was told a few days ago when having a sonogram that my amniotic fluid was a little low but "not a cause for concern". Well this is my first child so I worry about everything. I understand the lowering of fluid can be due to the placenta starting to fail... What causes this and should this be a concern at 38 weeks?
